Terms of Service

Last updated: October 10, 2026

These terms are an agreement between you and the developer of Ellipsa ("we", "us") about your use of Ellipsa, including the desktop app, our relay service and this website (together, "Ellipsa"). By installing or using Ellipsa you agree to these terms. If you do not agree, do not use Ellipsa.

1. Pre-release software

Ellipsa is experimental, pre-release software provided to invited testers. It may contain bugs, change without notice, lose data, or stop working. We may change, suspend or end Ellipsa, or your access to it, at any time and for any reason, without liability to you.

2. Who can use Ellipsa

You must be at least 18, and able to enter into a binding agreement. If you use Ellipsa on behalf of an employer or other organisation, you confirm that you are allowed to, and that connecting its accounts and data to Ellipsa is permitted by its policies.

3. AI output can be wrong

Ellipsa uses artificial intelligence. Its summaries, answers, reminders, drafts, transcripts, suggested tasks and observations about people can be inaccurate, incomplete or out of date, and may misidentify people or misread context. You must review anything Ellipsa produces before relying on it, sending it or acting on it. Ellipsa is not a source of legal, financial, medical, employment or other professional advice, and must not be used for decisions with legal or similarly significant effects on anyone.

4. You are responsible for what you approve

Ellipsa only sends, deletes or changes things (such as emails, messages, calendar invitations and documents) when you approve it. Anything you approve is your action and your responsibility, including its content, its recipients and its consequences. Missed reminders, missed or incorrect follow-ups, and missed deadlines are not our responsibility.

5. Recording, screen capture and other people's information

Ellipsa can capture audio, screen text and messages that involve other people, and keeps a meeting's audio for a short time to tell its speakers apart (see the Privacy Policy). Laws in many places require the consent of everyone in a conversation before it is recorded or transcribed, and your employer or the services you use may have their own rules. You are solely responsible for telling the people involved and obtaining any consent required, for complying with recording, privacy, data protection and employment laws that apply to you, and for having the right to process the information you give Ellipsa. Do not use Ellipsa to record anyone unlawfully or to monitor anyone without their knowledge.

6. Acceptable use

You must not use Ellipsa to: break any law or anyone's rights; send spam or unsolicited bulk messages; harass, stalk or deceive anyone; process sensitive data you are not allowed to process; break the terms of Google, Slack, Notion, GitHub, OpenAI or any other connected service; try to get around usage limits, access the relay for any purpose other than using Ellipsa, or extract keys or credentials from the app; or reverse engineer, resell or redistribute Ellipsa, except where the law does not allow us to forbid it.

7. Connected services

Ellipsa works with services run by other companies, including Google, Slack, Notion, GitHub, OpenAI and Cloudflare. We do not control them and are not responsible for their availability, their actions, their data handling, or changes to their terms or access. Your use of them is governed by your agreements with them.

8. Your data and backups

You keep ownership of your data. How Ellipsa handles it is described in the Privacy Policy, which forms part of these terms. Your data is stored on your computer, and you are responsible for its security and for backing up anything you want to keep. We are not responsible for any loss or corruption of data.

9. Ownership of Ellipsa

We own Ellipsa and all rights in it. We give you a personal, revocable, non-exclusive, non-transferable licence to use it during testing, under these terms. If you send us feedback, we may use it freely without any obligation to you.

10. No warranty

Ellipsa is provided "as is" and "as available", with all faults, and without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and that it will be error-free or uninterrupted. You use Ellipsa at your own risk.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, data, or reputation, or for emails, messages or other actions sent or taken through Ellipsa, arising out of or relating to Ellipsa or these terms, however caused and under any theory of liability, even if we were told they were possible. Our total liability for all claims relating to Ellipsa or these terms is limited to the greater of the amount you paid us for Ellipsa in the 12 months before the claim (which, during free testing, is nothing) and fifty US dollars (US$50).

Some places do not allow certain warranties to be excluded or liability to be limited. In those places, these exclusions and limits apply to the fullest extent the law allows, and nothing in these terms limits liability that cannot be limited by law.

12. Indemnity

To the extent permitted by law, you agree to defend and compensate us against any claims, losses, liabilities and costs (including reasonable legal fees) arising from your use of Ellipsa, your content, anything you approved Ellipsa to send or do, your breach of these terms, or your breach of any law or anyone else's rights, including failure to obtain consent to record or process someone's information.

13. Ending use

You can stop using Ellipsa at any time: delete its data in Settings → Delete all data, uninstall it, and revoke its access in each connected service. We may suspend or end your access at any time. Sections 3 to 5 and 8 to 14 continue to apply after your use ends.

14. General

We may update these terms. The current version will always be on this page with its date; for significant changes we will let testers know, and continuing to use Ellipsa after a change means you accept it. These terms and the Privacy Policy are the whole agreement between us about Ellipsa. If any part is found unenforceable, the rest still applies. If we do not enforce a part, that is not a waiver. You may not transfer these terms; we may transfer them as part of a transfer of Ellipsa.
